I can see advantages and disadvantages to that, I'm aware of 501(c)3 (the 3 is important) I've started a small few before, But I think  Ladar Levison proves the US isn't the right place for OpenNIC

I think, if establish in the US, need to create non-profit organization, 501(c) tax exempt:

Major advantage - donation to non-profit is tax-deductible.
